Host Agreement

This Host Agreement applies to anyone who publishes or hosts an activity on Porchside (a "Host"). It supplements our Terms of Service. By publishing an activity, you agree to this Agreement.
1. Independent Host
You host activities as an independent organizer. You are not an employee, agent, partner, or joint venturer of Kinward, Inc. You have sole control over and responsibility for your activities.
2. Your Responsibilities
You are responsible for planning and running your activities safely and lawfully, providing accurate descriptions, obtaining any required permits, licenses, insurance, or venue permissions, complying with all applicable laws and venue rules, and treating attendees with respect. You must honor the activities you publish and communicate changes or cancellations promptly.
3. Payments and Payouts
If you charge for an activity, you must use the Service's payment features. You authorize Porchside and its payment processor to collect ticket payments from attendees on your behalf, deduct the applicable platform service fee, and remit the balance to you. To receive payouts, you must create and maintain a connected account with Stripe and agree to the Stripe Connected Account Agreement. Payouts are typically transferred approximately 24 hours after the activity is completed, subject to holds for fraud, disputes, or chargebacks.
4. Taxes
You are solely responsible for determining and paying any taxes on the amounts you earn through the Service. Where thresholds set by law are met, our payment processor will issue tax forms, such as an IRS Form 1099-K, reporting your earnings, and you are responsible for providing accurate tax information.
5. Cancellations and Refunds
If you cancel an activity, attendees receive a full refund as described in our Terms of Service. Frequent cancellations, no-shows, or refund disputes may affect your ability to host.
6. Prohibited Host Conduct
You may not host activities that are unlawful, unsafe, deceptive, or that violate our Community Guidelines. You may not collect payments outside the Service for activities arranged through it, solicit attendees for unrelated commercial purposes, or misrepresent your activities.
7. Suspension and Termination
We may remove activities, withhold or reverse payouts, and suspend or terminate your ability to host if you violate this Agreement, our Terms of Service, or applicable law, or if we determine it is necessary to protect users or Porchside.
